Terms of Service

1. Eligibility

You must be at least 18 years old to use Milo. Milo is designed for commercial real estate professionals including investors, brokers, analysts, and firms.

2. Account Access

Access to Milo is by invitation only. Accounts are created through organizational invitations or direct provisioning by Audubonic. Unauthorized account creation or sharing of access credentials is prohibited.

If you are granted access as part of an organization, your organization's administrator manages your account access and may add or remove members at their discretion.

3. License

We grant you a limited, non-exclusive, non-transferable license to use Milo in accordance with these Terms.

You may not resell, sublicense, reverse engineer, decompile, or otherwise misuse the software. You may not use automated means to access the platform beyond its intended interface.

4. Organization Accounts

Milo supports organization-level accounts where multiple users share access to deals, documents, and analysis within a shared workspace.

The organization administrator is responsible for managing team members, setting access permissions, and ensuring all users within the organization comply with these Terms.

Data created within an organization account (deals, documents, analysis results) belongs to the organization. If an individual user is removed from an organization, they will no longer have access to the organization's data.

5. Third-Party Data Processing

To provide AI-powered document analysis, extraction, and intelligence, your uploaded documents and queries are processed by third-party AI service providers. This includes:

• Document analysis and reasoning: Document content, extracted data, and user queries are sent to AI language model providers for analysis, extraction, and response generation.
• Document search and retrieval: Document content is processed by embedding and search providers to enable intelligent document retrieval and comparison.
• Web research: When web search is used, your queries may be sent to third-party search providers.

These providers are contractually bound through Data Processing Agreements not to use your data for model training, not to retain your data beyond the immediate processing request, and to maintain industry-standard security controls.

We do not sell your data. Your document content is used solely to provide the Milo service to you.

6. Data Security

We implement industry-standard security measures to protect your data, including:

• Encryption of data at rest and in transit
• Secure authentication through enterprise identity providers
• Role-based access controls
• Regular security audits

While we take reasonable measures to protect your information, no method of electronic storage or transmission is 100% secure. You are responsible for maintaining the confidentiality of your account credentials.

7. AI Output Disclaimer

Milo provides AI-generated financial analysis, document extraction, and underwriting estimates for informational purposes only. Milo's outputs are not investment advice, legal advice, or professional appraisals.

AI-generated outputs may contain errors or inaccuracies. You are solely responsible for independently verifying all AI-generated data, analysis, and recommendations before making any investment, lending, or business decisions. Milo is a tool to assist your professional judgment, not a substitute for it.

To the fullest extent permitted by law, Audubonic disclaims liability for losses arising from reliance on AI-generated outputs.

8. Acceptable Use

You agree not to:

• Upload content that you do not have the right to share
• Use Milo for any unlawful purpose
• Attempt to gain unauthorized access to other users' data or accounts
• Interfere with or disrupt the platform's operation
• Use Milo to generate misleading or fraudulent financial analyses

9. Billing & Payment

Milo's pricing is determined on a per-organization basis through direct agreement with Audubonic. Payment terms, billing frequency, and pricing are established in your service agreement.

Audubonic reserves the right to modify pricing with reasonable notice.

10. Intellectual Property

All rights, title, and interest in Milo, including its software, algorithms, models, and documentation, are owned by Audubonic, Inc.

You retain ownership of all documents, data, and content you upload to Milo. By uploading content, you grant Audubonic a limited license to process that content solely for the purpose of providing the Milo service to you.

AI-generated outputs (analysis, reports, extracted data) produced by Milo using your input data are owned by you.

11. Confidentiality

We treat all documents and data uploaded to Milo as confidential. We will not disclose your data to third parties except as required to provide the service (see Section 5), as required by law, or with your explicit consent.

12. Termination

You or your organization administrator may request account termination by contacting support@audubonic.com

We may suspend or terminate accounts that violate these Terms with notice, except in cases of egregious violation where immediate action is required.

Upon termination, your access to Milo will be revoked. You may request export of your data within 30 days of termination.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification. Continued use of Milo after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Tennessee, USA. Any disputes will be resolved in the courts of Tennessee.
